1. Definitions
Partner: a person or company that has accepted these terms and been issued a Partner Code.
Partner Code: the personal code and ?ref=CODE link issued to the Partner by the Platform.
Referred User: a user attributed to the Partner under section 3.
Qualifying Purchase: a confirmed payment for a paid course by a Referred User.
Commission: the amount earned on a single Qualifying Purchase.
Hold: the period during which a Commission cannot yet be paid out.
2. Subject
The Partner promotes the Platform, acting in their own name and at their own expense. Compensation is paid on results.
These terms do not create an agency relationship. The Partner does not act on behalf of the Platform and may not take on obligations in its name.
3. Attribution
A user is attributed to a Partner at whichever comes first: registration with a Partner Code, or checkout with a Partner Code.
Attribution happens once and does not change. If the user later follows another Partner's link, they stay with the first. This protects the Partner who introduced someone a month before they bought.
Attribution does not happen when:
- the user is already attributed to another Partner;
- the user has paid on the Platform before;
- the user is themselves a Partner;
- the user is the Partner;
- the account is banned.
The discount still applies in every one of those cases. It is the compensation that does not arise.
4. Discount for users
The Partner Code gives 30% off the full price of any paid course.
It does not stack with Platform sales. The user is charged the lower of the two prices.
The code applies to each purchase by a Referred User for the period shown in the Partner cabinet.
5. Rate
The base rate is 30% of the amount paid after the discount.
Acquiring fees are not deducted from that base, because the Partner does not control them and cannot verify them.
Launch window. For the first 30 days after activation the rate is 40% with no threshold of any kind.
Higher rate. On reaching 50 unique Referred Users who have each paid at least once, the rate becomes 40% permanently.
The higher rate applies to purchases made after the threshold is reached and does not recalculate earlier Commissions. A refund may reduce the referral count, but never lowers a rate already granted.
6. When compensation arises
A Commission is created when a payment is confirmed and sits in Hold for 14 calendar days plus 2. That matches the refund window in the Refund Policy.
After the Hold it becomes available for payout, provided the payment was not refunded and the Partner's account is still active.
7. Reversal
A Commission is reversed on a refund, a cancelled payment, a chargeback, revoked access, or a breach of section 9.
Reversal is possible after payout as well. In that case the amount is netted out of subsequent payouts.
8. Payouts
Payouts go out twice a month. There is no minimum.
Compensation is paid in the currency the user paid in. Nothing is converted and amounts in different currencies are never added together.
The method and currency are agreed separately. The Partner's payment details are not stored on the Platform. Transfer fees are allocated by agreement. If the chosen transfer route stops working, the parties agree a new one.
9. Prohibited traffic
The following are prohibited:
- bots, automated or incentivised traffic, click fraud;
- popunders, clickunders, domain typosquatting;
- use of the RootAcademy brand in paid search or in domain names;
- posting the Partner Code on coupon aggregators or discount services unrelated to the Partner's audience;
- passing the code to third parties for such posting;
- purchases by the Partner, and purchases paid with the Partner's payment details;
- purchases arranged on the understanding that part of the compensation is returned to the user.
If a code is found on an aggregator, the Platform may deactivate it and issue a new one. Existing Referred Users stay with the Partner and Commissions already earned stand.
Click statistics are indicative. Compensation is earned only on confirmed payments.
10. Advertising disclosure
The Partner is responsible for meeting the advertising law applicable to their audience, including any labelling and filing requirements.
How that responsibility is allocated is agreed between the parties before the first publication.
11. No promises on our behalf
The Partner may not claim, on the Platform's behalf, guaranteed employment, guaranteed income, state-recognised qualifications or accreditation.
The Platform provides access to educational material. The Partner's wording must not contradict the Public Offer or the Terms of Use.
12. User data
The Partner receives anonymised statistics. No personal data about users is passed to the Partner: no email addresses, no names, no account identifiers.
Each Referred User is shown as an opaque technical identifier, unique to that Partner.
The Partner undertakes not to attempt to identify the people behind those identifiers, including by matching the statistics against other data available to them.
13. Tax
The Partner is solely responsible for their own tax obligations on the compensation received.
The Platform is not the Partner's tax agent and withholds no tax from the compensation.
The Platform may require a document evidencing the compensation (receipt, act, invoice) as a condition of payout.
14. Suspension and termination
The Platform may suspend a Partner for a breach of section 9 or on reasonable suspicion of abuse.
Suspension stops new attributions and new Commissions. Commissions already confirmed stand and remain payable.
Either party may end the relationship on notice. Commissions confirmed by that point are paid out normally.
15. Changes
Changes apply only to purchases made after the Partner is notified and never revisit Commissions already earned.
16. Details and disputes
The provider and its details are set out under "Company details" in the Public Offer.
Disputes are settled by negotiation. Failing that, the procedure in the Public Offer applies.
